Terms of Service

1. Acceptance of Terms

By accessing or using the Reg AI website and services ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services. You must be at least 13 years old to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Document Hierarchy

These Terms of Service, together with our Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and Reg AI LLC regarding your use of the Services. In the event of a conflict between these Terms and any other policy document, these Terms shall control, except that the Privacy Policy shall control with respect to personal data processing matters.

3. Services Description

Reg AI provides domain name registration, marketplace, and related services for .ai domains. Our Services include:

• Domain name registration and renewal
• Domain name marketplace for buying and selling
• Domain name transfer services
• Lease-to-own payment options
• DNS management

4. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Domain Registration Terms

When registering or purchasing a domain through our Services:

• You must comply with the registry policies for .ai domains set by Identity Digital and the Government of Anguilla
• Domain registration is subject to availability and registry approval. Registry rejections may occur without notice. In such cases, your sole remedy is a full refund of the purchase price as described in our Refund Policy (Section 6). Reg AI is not liable for any indirect, special, or consequential damages arising from registry unavailability or rejection.
• You represent that you have the right to register or purchase the domain
• Newly registered domains and domains with a recent change of registrant are subject to a 60-day transfer lock in accordance with registry operator policies. During this period, the domain cannot be transferred to another registrar.
• Domain purchases are subject to our Refund Policy (Section 6)

6. Payment and Pricing

All prices are listed in USD unless otherwise specified. We accept major credit cards and other payment methods as displayed at checkout.

Domains listed on third-party marketplaces (such as Afternic or Sedo) may include additional fees to cover marketplace commission costs. The price shown on reg.ai reflects the base price. Purchasing directly through reg.ai ensures you pay the lowest available price.

Domain Renewals

Domain registrations must be renewed annually to remain active. The first year of registration is included in the purchase price. Subsequent annual renewals are $80/year. During an active lease-to-own term, Reg AI covers renewal costs on your behalf. After the lease completes and ownership transfers, you are responsible for annual renewal fees.

Service Fee Terms (Lease-to-Own)

The lease-to-own service allows you to acquire a domain through monthly payments over a fixed term. A service fee is applied to cover the costs of domain management during the lease term. The service fee covers: (a) domain registration renewal during the lease term; (b) DNS hosting and zone management; (c) monthly payment processing; (d) customer support and domain management; and (e) administrative services related to the lease.

The service fee schedule is 5% of the domain purchase price per year of the lease term. The total cost is calculated as: purchase price + (purchase price × 5% × number of years). For example, a $1,000 domain on a 2-year lease would have a total cost of $1,100 ($1,000 + $1,000 × 5% × 2), payable in 24 equal monthly installments.

Available lease terms are 12, 24, 36, 48, or 60 months. Monthly payments are due on the same calendar day each month as the original purchase date. Domain ownership transfers upon completion of all payments.

Early Payoff

You may pay off the remaining balance of your lease at any time with no prepayment penalties. Early payoff qualifies for a 3% discount on the remaining balance (excluding payments already made). The early payoff amount is calculated as: remaining balance minus 3% of the remaining balance. Upon receipt of the early payoff payment, domain ownership will be transferred to you.

Lease Default and Cure

If a monthly payment is not received by the due date, a seven (7) day grace period begins. During this grace period, you will receive notifications prompting you to update your payment method or retry payment. If payment is not received by the end of the grace period, the missed payment is recorded as a write-off.

After two (2) consecutive missed payments (i.e., two write-offs), Reg AI will reclaim the domain. Upon reclamation, the lease is terminated, the domain is returned to the Reg AI portfolio, and all prior payments are forfeited. You will have no further claim to the domain.

Not a Financial Service

Reg AI is not a bank, financial institution, or lending service. The lease-to-own service is a domain management service with deferred payment, not a loan or credit product. No credit check is performed, no credit is extended, and no debt is created. The service fee is not interest. If any court, arbitrator, or regulatory authority determines that any portion of the service fee constitutes interest or a finance charge under applicable law, such fee shall automatically be reduced to the maximum amount permitted under applicable law, and any excess amount previously collected shall be credited to your remaining balance or refunded. This Agreement shall remain in full force and effect notwithstanding any such determination.

No Ownership During Lease Term

During the lease term, you receive DNS access and management rights only. You do not obtain any ownership rights in the domain registration until all payments are complete and the domain has been transferred to your registrar account.

Right to Resell After Termination

Upon lease termination for any reason other than successful completion, Reg AI may relist and sell the domain to any party at any price. You will have no further claim to the domain or any payments previously made.

Designated Agent

By entering into a lease-to-own agreement, you appoint Reg AI as your designated agent for the sole purpose of making the following domain registration changes: (a) nameserver updates; (b) registrant contact information updates; and (c) domain transfer initiation upon lease completion or termination. This appointment is limited to these specific actions and remains in effect for the duration of the lease term.

Material Breach

You must respond to requests from Reg AI regarding registration or contact information within fifteen (15) business days. If you do not respond within this period, Reg AI will send a second notice to the email address on file. If you do not respond within fifteen (15) business days of the second notice, Reg AI may suspend DNS access and domain management services until you respond. Continued non-response for thirty (30) days after suspension may result in lease termination.

Fraud and Chargeback Handling

In the event of a chargeback on any lease payment, Reg AI reserves the right to immediately suspend DNS access and domain management services until the dispute is resolved. If the chargeback is upheld, the lease will be terminated and the domain will be returned to Reg AI's inventory.

Transaction Disclosure

By completing a purchase or lease through our Services, you acknowledge that we may disclose certain transaction information to third-party domain sales databases (such as NameBio) for market transparency purposes. The only information disclosed will be the domain name, sale price, and transaction date; no information identifying the buyer will be disclosed. To opt out of transaction disclosure, notify us at legal@reg.ai prior to completing your purchase.

7. Refund Policy

We want you to be satisfied with your purchase. Our refund policy is designed to be fair while accounting for the unique nature of domain transactions.

Full Purchases (Buy Now)

• 30-Day Return Policy: You may request a return within 30 days of purchase. Your refund will be the purchase price less Stripe processing fees, any registry or transfer fees incurred, and a 5% restocking fee. All returns are subject to manual review.
• Return Exclusions: Returns will be denied if the domain was used for malware, phishing, or spam; if the domain was blacklisted; if DNS was pointed at content violating our Acceptable Use Policy; if the domain was transferred to another registrar; or if WHOIS contact was changed from our privacy proxy.
• Technical Issues: If the domain cannot be transferred due to registry issues or if the domain is unavailable, you will receive a full refund

Lease-to-Own Purchases

• Monthly Payments: Individual lease payments are non-refundable once processed
• Cancellation: You may cancel your lease at any time. The domain will be returned to our inventory. Payments already made are not refunded, but you are not obligated to continue paying
• Early Payoff: You may pay off the remaining amount at any time with no prepayment penalties
• Service Disruption: If Reg AI is unable to provide the leased domain due to technical issues, registry errors, or other circumstances within our control, you may be entitled to a pro-rata refund of payments made during the affected period. Contact support@reg.ai to request a service disruption refund.

Domain Registrations

• Failed Registrations: If a domain registration fails for any reason, you will receive a full refund
• Successful Registrations: Successfully registered domains cannot be refunded as the registration fee has been paid to the registry

Exception Conditions

Refunds may be provided outside the standard policy in cases of:

• Domain unavailability after purchase (seller cannot deliver)
• Significant misrepresentation in the listing
• Technical issues on our platform preventing delivery
• Duplicate charges or billing errors

How to Request a Refund

To request a refund, contact us at support@reg.ai with your order number and reason for the refund. We will respond within 2 business days.

EU/EEA Customers — Right of Withdrawal

Under the EU Consumer Rights Directive (2011/83/EU), consumers in EU and EEA countries are normally entitled to a 14-day cooling-off period for online purchases. However, domain name registrations and transfers constitute digital content that begins delivery immediately upon purchase. By checking the withdrawal waiver at checkout, you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once the domain registration or transfer process has begun, in accordance with Article 16(m) of the Directive. If you do not waive this right, please contact support@reg.ai before completing your purchase.

8. Acceptable Use

You agree not to use our Services for any unlawful purpose or in violation of our Acceptable Use Policy. We reserve the right to suspend or terminate accounts that violate these terms.

9. Intellectual Property

All content, trademarks, and intellectual property on our website are owned by Reg AI LLC or our licensors. You may not copy, modify, or distribute our content without permission.

10. Limitation of Liability

To the maximum extent permitted by law, Reg AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.

IN NO EVENT SHALL REG AI LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO REG AI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL DOMAIN REGISTRATION, MARKETPLACE, AND LEASE-TO-OWN FEATURES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, REG AI LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Reg AI LLC makes no warranty or representation that: (a) the Services will meet your requirements or expectations; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) any domain name will be free from third-party claims, including trademark disputes or UDRP proceedings; or (d) any information obtained through the Services will be accurate or reliable.

12. Dispute Resolution

Disputes Between You and Reg AI

These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures, including the JAMS Consumer Minimum Standards. The arbitration shall take place in Washington County, Oregon.

Arbitration Costs: For claims totaling less than $10,000, Reg AI will pay all JAMS filing fees and arbitrator compensation. For claims totaling $10,000 or more, costs and fees shall be allocated in accordance with JAMS rules.

Class Action Waiver: YOU AND REG AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits instead of arbitration.

Opt-Out: You may opt out of binding arbitration by sending written notice to legal@reg.ai within thirty (30) days of first accepting these Terms.

Domain Name Disputes (UDRP)

By registering a domain name through our Services, you agree to be bound by the Uniform Domain-Name Dispute-Resolution Policy (UDRP) as adopted by ICANN. You acknowledge and agree that:

• You are required to submit to a mandatory administrative proceeding if a third party files a complaint regarding your domain name registration with an approved UDRP dispute resolution provider.
• A UDRP proceeding may result in the cancellation, transfer, or modification of your domain name registration.
• You will not be prevented from submitting the dispute to a court of competent jurisdiction for independent resolution before, during, or after a UDRP proceeding.
• Reg AI will comply with any decision rendered by a UDRP panel, including transferring or cancelling your domain name registration as directed.

Uniform Rapid Suspension (URS)

Domain names registered through our Services may also be subject to the Uniform Rapid Suspension System (URS), which provides an expedited process for clear-cut cases of trademark infringement in domain name registrations. A URS determination may result in the suspension of your domain name for the remainder of its registration period.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and providing at least 30 days notice before the changes take effect. Continued use of our Services after such changes constitutes acceptance of the new Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless Reg AI LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services, including any domain names registered, purchased, or leased through the Services;
• Any content, websites, or services you associate with domain names obtained through the Services;
• Your violation of these Terms or any applicable law or regulation;
• Any third-party claims, including trademark infringement, UDRP proceedings, or intellectual property disputes related to your domain names;
• Your negligence or willful misconduct.

This indemnification obligation will survive the termination of your account and these Terms.

Lease-to-Own Indemnification

In addition to the general indemnification obligations above, if you enter into a lease-to-own agreement, you agree to indemnify, defend, and hold harmless Reg AI LLC from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to the following, provided that claims must arise from events during the lease term and this obligation expires one (1) year after the lease ends:

• Your use of any domain leased through the Services, including any websites, services, or content hosted on or associated with the leased domain during the lease term;
• Any DNS configurations, nameserver changes, or technical settings you apply to the leased domain during the lease term;
• Any third-party claims arising from your use of the leased domain during the lease term, including trademark infringement, defamation, or violations of applicable law.
