The general meeting of shareholders is the highest decision-making body where shareholders of a joint stock company gather to decide on important matters of the company as stipulated in the Commercial Act. Shareholders have one vote per share, and voting rights can be exercised in person, through a proxy by writing a proxy, or through written or electronic voting. In addition, shareholders with two or more shares may exercise voting rights differently. However, if they hold shares that do not have voting rights according to the articles of incorporation when the company issues them, such as preferred dividend shares, they cannot participate in the general meeting of shareholders.

Among the shareholders who own stocks of a company holding a general shareholders' meeting, if they are recognized as shareholders who own stocks of the company on a certain date (reference date) determined by the company, they are eligible to participate in the general shareholders' meeting. However, there are not many shareholders who attend the general shareholders' meeting in person.

In particular, as of the end of October 2021, the number of domestic stock accounts of individual investors in Korea exceeded 20 million, and according to the Korea Securities Depository, the number of individuals who owned stocks in corporations that closed in December 2020 was 9.19 million. Considering the increase in stock accounts since then, the number of individual investors in Korea is expected to greatly exceed 10 million.

These individual investors are making direct investments using various investment platforms, and while there are individual investors who make stock investment their full-time job, the proportion of individual investors who have other main jobs and use it as a side investment tool to increase their financial assets is much higher.

Therefore, it is predicted that the proportion of individual investors who do not attend regular shareholders' meetings or extraordinary shareholders' meetings will be very high.

For example, in the 2020 general shareholders' meeting, there were approximately 340 companies whose agenda items were rejected, and of these, 315 companies had their agenda items rejected due to insufficient quorum, resulting in a rejection rate of 93% due to insufficient quorum.

In addition, because it is difficult for minority shareholders to express their opinions and exercise their rights as owners of the company, shareholders lose interest in the company's business and cannot help but be passive in exercising their shareholder rights, which results in the company's business activities not reflecting shareholder opinions in a balanced manner.

In particular, in order to encourage the participation of minority shareholders, the Commercial Act was revised at the end of 2020 to ease the resolution requirements when introducing electronic voting. However, some listed companies have difficulty amending their articles of incorporation (special resolution) due to the low stake of the largest shareholder. In addition, the voting rate has remained at around 5% despite the implementation of electronic voting and electronic proxy over the past three years.

While the influence of minority shareholders is gradually increasing, the participation rate of minority shareholders in shareholder meetings is 0.69% according to the analysis of 2,351 corporations that closed their fiscal year in 2020, and the shareholding ratio of participating shareholders is 4.67%. Meanwhile, there is a method of proxy attendance through a proxy who exercises voting rights by receiving a proxy for voting rights from shareholders who have difficulty attending the general shareholders' meeting in person.

Attendance by proxy through such agent requires submission of a written document (power of attorney) proving the power of attorney to the company. Since the power of attorney submitted to the company must be an original document, it is not possible to submit it as an electronic document.

In addition, in proxy attendance through a proxy, the solicited shareholder can appoint multiple people as his/her proxy, but as the problem of uneven exercise of voting rights may arise, prior consultation with the company is required, and voting rights can be withdrawn after delegation.

In addition to the simple purpose of proxy voting for minority shareholders who have difficulty attending the general shareholders' meeting, there are also cases where proxy voting is delegated for the purpose of securing a majority of voting rights. This proxy solicitation system requires that anyone wishing to solicit proxy voting from 10 or more shareholders of a listed corporation must submit a proxy form and reference documents to the Financial Services Commission and the Korea Exchange at least two business days prior to solicitation, and must comply with the procedures stipulated by law (such as proper use of proxy forms, solicitation period, etc.).

Looking at this in more detail, the act of soliciting proxy voting includes the act of soliciting oneself or a third party to exercise voting rights on one's behalf, the act of requesting the exercise or non-exercise of voting rights or the withdrawal of proxy voting rights, the act of sending proxy forms to shareholders or expressing opinions through other means for the purpose of securing or canceling voting rights, etc.

There are no special restrictions on the qualifications of solicitors who solicit the exercise of the above proxy voting rights, so anyone who is a member of the relevant company (management), shareholder, or has a special interest in the purpose of the relevant general shareholders' meeting can become a solicitor.

The method of exercising voting rights by proxy is that, under the Commercial Act, a person wishing to exercise voting rights as a shareholder's proxy must submit a document proving the proxy authority, so the shareholder must designate a proxy and sign a power of attorney.

In other words, when a solicitor solicits a shareholder to delegate voting rights, it is considered a subscription, and when a shareholder sends a proxy to the solicitor with the intent of granting proxy rights, it is considered an acceptance, and a proxy contract for the purpose of exercising voting rights by proxy is deemed to have been established between the solicitor and the shareholder.

The solicitor must exercise voting rights in accordance with the will of the solicitee as indicated in the proxy, and the proxy form must contain the following: the content of the proxy delegation to exercise voting rights; the proxy solicitor or other person to whom the proxy is to be delegated; the number of voting shares owned by the proxy; the number of shares to be delegated; each purpose of the general shareholders' meeting and whether or not each purpose is for or against; whether or not the exercise of voting rights on new, changed, or amended agenda items at the general shareholders' meeting is delegated and the details of the delegation; the date and time of the delegation; and the name and resident registration number of the delegator (the name and business registration number in the case of a corporation).

In addition, there are reference documents that must be submitted to the financial stock exchange. The reference documents must be written documents that describe the solicitor, the purpose of the general shareholders' meeting, etc. so that they can be used as a reference for decision-making. The documents must include an outline of the solicitation of proxy voting, each purpose of the general shareholders' meeting, and the purpose of soliciting proxy voting.

Among these, the purpose of recommending proxy voting must be written concisely based on objective facts, and must not exaggerate or distort facts or omit important facts in a way that may cause misunderstanding.

In order to exercise voting rights by proxy as described above, it is very important to obtain a proxy for legitimate proxy voting by providing information about the company holding the general shareholders' meeting and the exact meaning and information about proxy voting to avoid any misunderstanding on the part of the solicitor.

However, since regular general shareholders' meetings are usually held in mid- to late-March each year, verified offline proxy proxy companies have difficulty concluding additional contracts due to a lack of available personnel, and it is also difficult to fulfill existing contracts.

On the other hand, from the perspective of the solicited person, it is often difficult to confirm the identity of the solicitor they are meeting face to face, and they are often reluctant to write a proxy due to a lack of accurate understanding of their rights and information about the agenda items presented at the general shareholders' meeting.

The present invention, which is accomplished as described above, solves problems that occur during the process of proxy voting, which was previously done manually. In addition, because solicitors had to persuade solicitees without accurately recognizing or understanding the relevant laws and regulations regarding proxy voting and exercise, it was not easy to secure a proxy from the solicitees, and as a result, accidents related to proxy voting frequently occurred.

In addition, since events requiring the exercise of voting rights do not occur frequently, it is difficult to hire full-time solicitors, and the turnover rate is very high. To supplement this, new employees must be hired, but as mentioned above, there is no standardized training schedule, so there have been repeated instances of meeting solicitees with low job understanding and insufficient knowledge of related laws.

In order to solve the above problem, in the present invention, an education schedule on laws and information on proxy voting is created and stored in a central server (10), and a selection test including questions and answers to confirm the practical ability and understanding of laws of those who have completed the education schedule is created and stored.
