Terms of Service

1. Acceptance of Terms

By accessing or using MechCloud's services, website, or any applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

MechCloud reserves the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.

2. Description of Service

MechCloud is a cloud infrastructure management platform that provides:

• Stateless Infrastructure as Code (IaC) capabilities
• Real-time cloud resource visualization
• Real-time pricing for cloud resources
• AI-powered agents for cloud management
• Multi-cloud support (AWS, Azure, GCP)

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

4.1 Free Plans

MechCloud offers free plans (Basic and Student) with limited features. No credit card is required for free plans.

4.2 Paid Plans

Paid plans are billed on a monthly or annual basis. By subscribing to a paid plan, you authorize MechCloud to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.

4.4 Refunds

Refunds are handled on a case-by-case basis. Contact support@mechcloud.io for refund requests.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for cryptocurrency mining without authorization
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service in a manner that exceeds reasonable use

6. Cloud Provider Credentials

When you connect your cloud provider accounts (AWS, Azure, GCP) to MechCloud:

• You are responsible for the security of your cloud provider credentials
• MechCloud uses industry-standard encryption to protect your credentials
• You grant MechCloud permission to access your cloud resources as necessary to provide the Service
• You remain responsible for all charges incurred on your cloud provider accounts

7. AI Agents and Automation

MechCloud's AI agents can perform actions on your cloud infrastructure. By using AI agents:

• You acknowledge that AI-generated actions may have unintended consequences
• You are responsible for reviewing and approving actions before execution
• MechCloud is not liable for any damages resulting from AI agent actions
• AI credits are consumed based on usage and are non-refundable

8. Intellectual Property

The Service and its original content, features, and functionality are owned by MechCloud and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create using the Service, including infrastructure configurations and templates.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Service Availability

MechCloud strives to maintain high availability but does not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance with advance notice when possible
• Experience unplanned outages due to circumstances beyond our control
• Modify, suspend, or discontinue features with reasonable notice

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MECHCLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Cloud provider charges incurred through use of the Service
• Damages resulting from unauthorized access to your account
• Damages resulting from AI agent actions

Our total liability shall not exceed the amount you paid to MechCloud in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MechCloud and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Actions taken on your cloud provider accounts through the Service

13. Termination

MechCloud may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. You may export your data before termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MechCloud operates, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.
