This agreement governs access to and use of software, automations, integrations, and related services provided by Colby AI, Inc.
1. Scope
This End-User License Agreement applies to Colby software, hosted applications, workflow automations, integrations, documents, and related services made available to customers or authorized users.
By accessing or using Colby software, you agree to this agreement on behalf of yourself or the organization you represent.
2. License
Subject to this agreement and any applicable order, statement of work, or subscription terms, Colby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software for your internal business purposes.
Colby and its licensors retain all rights, title, and interest in the software, including all intellectual property rights. No rights are granted except as expressly stated here.
3. Restrictions
You may not copy, resell, sublicense, reverse engineer, decompile, modify, or create derivative works from the software except where permitted by law or expressly authorized by Colby in writing.
You may not use the software to violate law, infringe third party rights, transmit malicious code, interfere with service operation, or attempt unauthorized access to any system or data.
4. Customer data
You retain ownership of data, content, records, and materials submitted to the software by you or your authorized users. Colby may process that data to provide, maintain, secure, and improve the software and related services.
Use of personal information is described in the Colby Privacy Policy.
5. Third-party services
The software may connect to third-party services, including accounting, CRM, communication, storage, analytics, or AI providers. Your use of those third-party services remains subject to their own terms and privacy policies.
Colby is not responsible for third-party services outside its control, but may use their APIs and data access permissions to perform the workflows you authorize.
6. Availability and support
Colby works to provide reliable software and support, but does not guarantee uninterrupted or error-free operation. Planned maintenance, provider outages, network issues, or customer configuration changes may affect availability.
7. Disclaimers
Except as expressly stated in a signed agreement, the software is provided "as is" and "as available." Colby disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, Colby will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from use of the software.
9. Termination
Colby may suspend or terminate access if you violate this agreement, create security or operational risk, or fail to pay amounts owed under an applicable order or agreement.
