AI agents are starting to show up in portcos. Unlike traditional software, they don't just process data.. they take action. This creates risk that most governance and diligence frameworks don’t cover. Here are a few reasons this matters: 1. Agents often run inside revenue-critical workflows. If they fail or misfire, there may be no fallback. 2. Ownership is rarely clear. Many AI agents sit under IT and sys-admins with no direct tie to the business leaders responsible for outcomes. 3. Visibility of AI agents is very limited. "Shadow IT" has been a serious risk for years, but "Shadow AI Agents" will be significantly more impactful. 4. Safeguards are inconsistent: Some agents are deployed directly into production without any controls or review. This all translates into operational, compliance, and reputational risks that can't be ignored. I get it, AI is a huge opportunity and PE teams that don't pounce on the opportunity are going to fall behind (at least that's what the gurus & thought leaders are saying), but no amount of upside offsets the cost of hidden and unmanaged risk.

📌 What to Watch: AI Agent Systems in 2025 We’re entering an era where AI agents (not just chatbots) aren’t future fantasy, they’re creeping into real workflows. The next wave won’t be about asking a model a question, but delegating a substantial chunk of work to it and then supervising the outcome. 🔍 Key Applications Gaining Traction Autonomous completion of multi-step, complex tasks (e.g. building software, orchestrating workflows) Internal process automation, data analysis, decision support Agents that can sustain long sessions (Anthropic’s “Sonnet 4.5” is cited as an early example) 🚧 The Hurdles We Can’t Ignore These systems are not yet reliable in open, uncontrolled environments They still need human supervision, verification, course correction Users often restrict internet access, audit actions, and log behavior Without control mechanisms, agents could produce unpredictable or erroneous outcomes ⚖️ Ethics, Accountability & Trust Transparency of agent decisions is essential We must embed constraints, logging, and traceability Questions of responsibility (for errors, bad actions) become central Privacy, data safety, regulatory compliance must be “first-class citizens” in system design 🎯 What This Means for Founders / Builders Agents will evolve gradually at first as assistants in limited domains, then more broadly The sweet spot will be systems that combine autonomy plus rigorous guardrails The winners will be those building infrastructure: oversight layers, auditing, reliability Ethical design, trust, and alignment won’t be optional, they’ll make or break adoption In short: we’re not yet at a stage where AI agents can fully replace skilled humans, but we’re getting closer. Your AI Governance Framework is Broken (And Everyone Knows It) Here's the uncomfortable truth: your AI systems are already making decisions that could sink your company, and most CTOs are flying blind. We're not talking about ChatGPT experiments anymore. AI is approving loans, filtering resumes, routing customer calls, and influencing product roadmaps. Yet when I ask technical leaders "Who's accountable when your AI screws up?" I get blank stares. The problem isn't complexity — it's ownership. Most organizations treat AI governance like a compliance checkbox. Wrong move. This is a technical architecture problem that requires engineering discipline. What Actually Works After implementing governance frameworks across dozens of organizations, here's what separates the prepared from the panicked: → System-level ownership. Not platform ownership — system ownership. Every AI implementation needs a named technical owner who understands the data flow, decision boundaries, and failure modes. No exceptions. → Continuous validation. Your models drift. Your data changes. Your business context evolves. If you're not testing accuracy and bias monthly, you're building technical debt that compounds. → Hard boundaries with escalation paths. Define exactly what decisions AI cannot make autonomously. Then build the technical infrastructure to enforce those boundaries. When limits are hit, escalation should be automatic and logged. → Regulatory mapping that doesn't suck. GDPR, CCPA, and emerging AI regulations aren't abstract compliance issues — they're technical requirements that need to be architected into your systems from day one. → Explainability where it matters. Not every AI decision needs to be explainable, but any decision affecting people or revenue better have audit trails that make sense to non-technical stakeholders. The Matrix That Works Risk Level → Technical Threshold → Automated Response → Human Escalation This isn't bureaucracy. It's good engineering. You already do this for security incidents and system outages. AI decisions are no different. Your Biggest Blind Spot Shadow AI is everywhere. Marketing is using AI for content. Sales is using AI for lead scoring. Support is using AI for ticket routing. Most CTOs discover these implementations during incident post-mortems. So here's my question: Can you map every AI system currently making decisions in your organization? If the answer is no, you don't have an AI governance problem. You have a technical inventory problem. Start there.
