GENERAL TERMS AND CONDITIONS OF SALE AND DELIVERY

Authentic Brands is the official distributor of Allbirds in the Benelux and manager of this webshop.

These are the general terms and conditions of sale and delivery of Allbirds Benelux/ Authentic Brands, Klopperman 4A, 2292 JD, Wateringen. Authentic Brands is registered with the Chamber of Commerce for The Hague under number: 70849331 and with VAT number NL858483828B01. 1. General
1.1 These general terms and conditions (“Terms”) apply to all offers and quotations from Allbirds Benelux and to any distance contract entered into between Allbirds Benelux and a natural person (“Customer”) (“Agreement”).
1.2 By placing an order, the Customer accepts the applicability of these Terms.
1.3 Changes to and additions to the provisions of these Terms and/or further agreements are only valid if confirmed in writing by Authentic Brands.

2. Prices and Payment
2.1 All prices are in euros and include VAT. Shipping costs are not included in the stated prices.
2.2 All prices on the website are subject to input, typographical, or printing errors. No liability is accepted for the consequences of such errors.
2.3 Prices will not be increased during the term of the Agreement.
2.4 Payment for orders via the Website can be made through the following payment methods: iDeal, PayPal Bancontact or Creditcard (Mastercard & Visa)
2.5 Payment for the order is made as agreed in the Agreement. The order will only be shipped once the agreed (advance) payment has been paid in full.
2.6 If payment is not made within 4 days from the date of the order, the order will be canceled.
2.7 If the payment term mentioned on the invoice is exceeded, Allbirds Benelux is entitled, without any reminder or notice of default to the Customer, to charge statutory interest from the end of the term, increased by extrajudicial (collection) costs, the amount of which is determined at a maximum of 15% of the outstanding amount, as well as any legal costs.

3. Delivery
3.1 After placing an order, you will receive a confirmation email as soon as possible. This order confirmation will state the purchase amount of your product(s) and a contribution towards shipping costs. If you have not received confirmation after placing an order, you can report this by sending an email to help@allbirdsbenelux.nl.
3.2 Delivery is subject to stock availability.
3.3 Allbirds Benelux is not liable for damages resulting from exceeding delivery times.
3.4 If delivery is delayed, either due to temporary out-of-stock items or for other reasons, or if an order cannot be fulfilled or can only be partially fulfilled, the Customer will be informed accordingly.
3.5 In accordance with statutory regulations, Allbirds Benelux will execute orders within 30 days. If this is not possible (for example, if the ordered product is not in stock or no longer available), or if there is a delay for other reasons, or if an order cannot be fulfilled or can only be partially fulfilled, the Customer will be notified within one month after placing the order and will have the right to cancel the order without any cost or notice of default.
3.6 Products will be delivered to the delivery address provided by the Customer when placing the order. The risk of loss or damage to the products transfers to the Customer at the moment the products are delivered to the Customer.
3.7 If the Customer refuses or fails to take delivery of the product, Authentic Brands reserves the right to charge the reasonable costs of storing the products to the Customer until delivery is possible. If delivery fails for reasons beyond Authentic Brands' control, Allbirds Benelux reserves the right to terminate the Agreement and refund the amounts paid, minus the reasonable costs incurred.

4. Exchange and Return
4.1 Allbirds Benelux allows the Customer to exchange or return (part of) the purchased products, for any reason, within 30 working days. This period starts from the moment the ordered products are delivered. Before returning, the Customer must Register return via return portal within 14 working days after delivery and specify the number and which products will be returned. The Customer must prove that the delivered products have been returned in time, for example, by means of a proof of postage. The return shipment is at the Customer’s risk and expense. If the Customer has not returned the delivered products to Allbirds Benelux after the end of this period, the Agreement cannot be canceled based on this article.
4.2 Return shipping costs are at the expense of the Customer unless an error was made by Allbirds Benelux. The purchase amount (and shipping costs if the error was made by Authentic Brands) will be refunded to the Customer as soon as possible, but no later than within 30 working days. Insufficiently or unpaid return shipments will not be accepted by Allbirds Benelux, regardless of the reason for the return. Improper returns will be sent back to the Customer with the shipping costs withheld.
4.3 For exchanges and/or returns, the following conditions apply: Returns must be made in the original or equivalent solid packaging. The products must be in original condition, i.e., unworn, undamaged, with attached price/item tag. If these conditions are not met, the right to cancel the Agreement under this article lapses.
4.4 When exchanging an incorrectly delivered or defective product, Allbirds Benelux will take care of the shipping costs for resending the product once.
4.5 In case of returns, the refund will be made to the Customer as soon as possible, but no later than 30 days after receipt of the return shipment.

5. Inspection, Warranty, and Liability
5.1 The Customer is required to inspect the delivered products immediately after delivery. Defects, shortages, or missing or incorrect products that the Customer discovers or should have discovered during inspection must be reported to Allbirds Benelux as soon as possible, but no later than 10 days after delivery.
5.2 Allbirds Benelux guarantees for 1 month that the products comply with the Agreement, the specifications stated in the offer, reasonable requirements of reliability and/or usability, and existing legal provisions and/or government regulations at the date of conclusion of the Agreement.
5.3 The aforementioned warranty does not apply if any defect arises due to improper use or if, without prior written permission from Allbirds Benelux, the Customer and/or third parties have made or attempted to make changes to the product, used it for (abnormal) purposes for which it is not intended, or otherwise handled it carelessly or in violation of Allbirds Benelux' instructions.
5.4 The provisions of these Terms regarding warranties do not affect the Customer's statutory warranty rights, all with due observance of these Terms and the Agreement, including the nature and quality of what was sold and delivered to the Customer.
5.5 The Customer is required to give Allbirds Benelux the opportunity to investigate the reported defects. If the delivered products show defects, Allbirds Benelux will, at its discretion, either replace or repair the delivered products at no cost or make a refund of an amount to be determined in consultation with the Customer. This amount will always be limited to a maximum of the invoice amount of the respective product(s). Any liability of Allbirds Benelux for any other form of damage is excluded, including but not limited to additional compensation in any form or compensation for indirect or consequential damages.

6. Offers
6.1 Offers are non-binding unless otherwise stated in the offer.
6.2 Offers from Allbirds Benelux do not automatically apply to repeat orders.
6.3 Allbirds Benelux cannot be held to its offer if the Customer should have understood that the offer, or part of it, contained an obvious mistake or typographical error.

7. Images and Specifications
7.1 All images, photos, and drawings of products, and data relating to dimensions and colors on the website are represented as accurately as possible but may not fully represent their characteristics and may vary in color, size, and may include optional accessories.
7.2 All this supporting information for the purchase is intended purely as general information and is indicative.

8. Privacy and (Intellectual) Property Rights
8.1 If the Customer places an order with Allbirds Benelux, the requested data will be included in Allbirds Benelux' customer database. Allbirds Benelux complies with the Personal Data Protection Act and will not provide the Customer’s data to third parties. See our Privacy Policy for more information.
8.2 Allbirds Benelux respects the privacy of the users of the Website and ensures the confidential handling of their personal data.
8.3 Allbirds Benelux relies on offering appropriate promotions to its customers through the Authentic Brands newsletter.
8.4 Regarding (intellectual) property rights concerning the Website or content posted on the Website, Allbirds Benelux refers to its Copyright Policy.

9. Applicable Law
9.1 These Terms, all Agreements, and all disputes arising therefrom are governed by Dutch law.
